Terms of Service

These Terms of Service (“Terms”) govern your use of Paneler, a web app available at paneler.app (the “Service”). Paneler lets you design 3D panel layouts for spherical objects such as footbags and juggling balls, and generates laser-cut cutting templates from those designs. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Paneler, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use Paneler. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian. By using the Service you represent that you meet these requirements.

3. Accounts and Access

Paneler offers sign-in through Google and GitHub via OpenID Connect. You are responsible for maintaining the security of the third-party account you use to sign in and for all activity that occurs under your Paneler account. Notify us promptly if you suspect unauthorized access. You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms.

You may also use Paneler without signing in for portions of the Service that do not require an account. Some features may only be available to signed-in users.

4. Your Designs and Content

Paneler lets you create panel designs, which are stored as JSON data. You may share a design by sending its URL (designs can be encoded in the URL fragment, which means the design data may travel with the link you share). You retain all ownership rights to the designs you create.

By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, and display your designs solely as needed to provide the Service to you. We do not claim ownership of your designs, and we do not use them for any other purpose.

You are solely responsible for the designs you create and share. You represent that your content does not infringe anyone’s rights and complies with these Terms.

5. Acceptable Use

You agree not to:

  • Use the Service to violate any law or the rights of others.
  • Upload, share, or generate content that is unlawful, infringing, harassing, hateful, or sexually explicit.
  • Attempt to disrupt, overload, or interfere with the Service or the servers and networks that run it.
  • Probe, scan, or test the Service’s vulnerabilities without our written permission, or bypass any access or rate-limiting controls.
  • Use automated tools to scrape, harvest, or extract data from the Service except as expressly permitted.
  • Misrepresent your identity, impersonate others, or use someone else’s account without permission.

6. Intellectual Property

Paneler is open-source software. The source code is made available under its open-source license, which governs your rights to copy, modify, and redistribute the code itself. These Terms govern your use of the hosted Service at paneler.app and do not limit any rights granted to you by the open-source license for the source code.

You are free to self-host Paneler under its open-source license. When you do, these Terms do not apply to your self-hosted deployment. The Paneler name and logo remain our property and may not be used to imply endorsement of, or affiliation with, your deployment without our permission.

7. Copyright and DMCA

We respect intellectual property rights. Do not use Paneler to create or share designs that infringe someone else’s copyright. If you believe content on the Service infringes your copyright, send a notice to [email protected] that includes:

  • Your contact information and a physical or electronic signature.
  • A description of the copyrighted work you claim is infringed.
  • The URL or location of the allegedly infringing content.
  • A statement that you have a good-faith belief that the use is not authorized, and that the information in your notice is accurate.

We will respond to valid notices and may remove content or terminate accounts of repeat infringers.

8. Privacy

Our Privacy Policy describes how we collect and handle information. In short, when you sign in we receive basic profile data (such as your email and name) from Google or GitHub through OpenID Connect, and we store your designs as JSON when you save them. We do not sell your personal information.

9. Service Availability and Changes

We work to keep Paneler available but provide no uptime guarantee. The Service is offered on an “as is” and “as available” basis. We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We are not liable to you for any such changes.

10. Disclaimers

Paneler generates cutting templates from your designs. You are responsible for verifying the output before using it with a laser cutter or other equipment. Operating laser cutters, sewing machines, and other tools involves risk. We make no warranty that templates produced by the Service are fit for any particular purpose, will work with your materials or equipment, or will produce a safe or accurate result.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. Paneler is currently provided free of charge, so our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to one hundred U.S. dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Paneler and its contributors from any claim, demand, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your designs, your violation of these Terms, or your violation of any rights of another.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or if we need to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state and federal courts located in New York, New York, and you consent to personal jurisdiction in those courts.

15. General Provisions

  • Severability. If any part of these Terms is held unenforceable, the rest will remain in effect.
  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
  • Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • No agency. No partnership, joint venture, employment, or agency relationship is created by these Terms.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Material changes will be highlighted on the site or communicated to signed-in users by email. Your continued use of the Service after changes take effect means you accept the updated Terms.
